These Terms of Service (“Terms”) govern your access to and use of our website, applications, and services (collectively, the “Service”). By uploading a document, creating an account (if applicable), purchasing, or downloading audio generated by the Service, you agree to be bound by these Terms.
1) Service Description
The Service lets you upload text-based documents (for example, PDFs) that we process using OpenAI’s APIs to convert the text into narrated audio files (e.g., MP3 format) (the “Output”).
2) Your Content & Rights
- You retain ownership of the documents and text you upload (“User Content”). We do not claim ownership over User Content.
- You represent and warrant that you have all necessary rights, licenses, permissions, and authority to (a) upload User Content to the Service; (b) request creation of the Output; and (c) use, reproduce, distribute, and otherwise exploit the User Content and Output as you intend, without infringing or violating any third party’s rights (including copyright, privacy, and publicity rights) or any laws.
- Responsibility. You are solely responsible for your User Content and for how you use the Output.
3) Generated Output (MP3) — Ownership “Inheritance”
The Output is a derivative work of your User Content. Your rights to use, share, publish, perform, sell, or otherwise exploit the Output are entirely dependent on and limited by your rights in the underlying User Content:
- If you do not have the right to reproduce, adapt, publicly perform, or distribute the text you uploaded, you may not do so with the Output.
- If your rights in the User Content are non‑commercial only, your rights in the Output are likewise non‑commercial.
- Where you do hold sufficient rights in the User Content, we grant you a personal, non‑exclusive, worldwide, royalty‑free license to download and use the Output for your permitted purposes, subject to these Terms and applicable law.
No transfer from third parties. These Terms do not grant you any rights with respect to third‑party content you upload without authorization, and we may disable or remove access to Output alleged to infringe others’ rights.
4) Inheritance of OpenAI Policies
Because the Service uses OpenAI’s platform, you agree that your use of the Service and the Output is subject to and must comply with OpenAI’s Usage Policies and other applicable OpenAI terms and documentation that may be updated from time to time. Without limiting the foregoing, you agree that you will not:
- use the Service, the Output, or any data obtained from the Service to train, fine‑tune, or improve any artificial intelligence, machine learning, or similar models, or to create datasets for such purposes;
- attempt to extract underlying models, voices, or system prompts (including by scraping, reverse engineering, or cloning) or to build a competing model with the Output;
- use the Service or Output in a manner that violates OpenAI’s prohibited content and safety restrictions.
To the extent OpenAI’s policies impose stricter or additional restrictions or obligations, those restrictions and obligations are incorporated by reference and apply to your use of the Service and Output.
5) Acceptable Use
- Do not upload unlawful, harmful, infringing, defamatory, or otherwise objectionable content.
- Do not violate or infringe anyone’s intellectual property or other rights.
- Do not interfere with or disrupt the Service, attempt to bypass security or usage limits, or misuse any API or related infrastructure.
- Do not resell, sublicense, or provide the Service to third parties except as expressly permitted.
6) Payments, Access & Refunds
- Fees are shown prior to purchase; payments are processed by third‑party providers (e.g., Stripe).
- Once audio generation begins, all sales are final and amounts paid are non‑refundable, except where required by law.
- We may suspend or terminate access if payment fails or if we suspect fraud, abuse, or policy violations.
7) Privacy & Data Handling
We handle personal data and file uploads as described in our Privacy Policy. In general, User Content is processed to generate Output and may be retained for a limited time for operational reasons (e.g., troubleshooting, billing, abuse prevention) before deletion in accordance with our policies, except where longer retention is required by law or to enforce these Terms.
8) Intellectual Property; Feedback
- All rights in the Service (including software, site design, and branding) are owned by us or our licensors.
- If you submit ideas or suggestions (“Feedback”), you grant us a perpetual, worldwide, irrevocable, royalty‑free license to use the Feedback without restriction or compensation.
9) Third‑Party Services
The Service may rely on third parties (e.g., hosting providers, payment processors, OpenAI). We are not responsible for third‑party services, and your use of them may be governed by separate terms.
10) DMCA / Takedowns
If you believe the Service or Output infringes your copyright, please contact us with: (a) your contact information; (b) a description of the work claimed to be infringed; (c) a description of the material claimed to be infringing; (d) a statement that you have a good‑faith belief that the use is not authorized; (e) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act; and (f) your physical or electronic signature. We may remove or disable access to allegedly infringing material and, where appropriate, terminate repeat infringers.

11) Disclaimers
- The Service and Output are provided “as is” and “as available” without warranties of any kind, express or implied.
- We do not guarantee that Output will be error‑free, perfectly accurate, or free from rights issues.
- We may modify, suspend, or discontinue the Service in whole or in part at any time.
12) Limitation of Liability
To the fullest extent permitted by law: (a) we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, goodwill, or business opportunities; and (b) our total liability for any claim relating to the Service will not exceed the amounts you paid to us for the Service giving rise to the claim during the 3‑month period preceding the event giving rise to the liability.
13) Indemnification
You agree to indemnify and hold harmless book2audio and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your User Content, your use of the Service or Output, or your violation of these Terms or applicable law.
14) Termination
You may stop using the Service at any time. We may suspend or terminate your access immediately for any violation of these Terms, suspected fraud or misconduct, or to comply with law. Upon termination, Sections intended to survive (including Sections 3–5 and 8–18) will continue to apply.
15) Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, without regard to conflict‑of‑laws principles. The exclusive venue for disputes arising out of or relating to these Terms or the Service is the state or federal courts located in Wyoming, and you consent to their personal jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16) Changes to the Terms
We may update these Terms from time to time. If we make material changes, we will post the updated Terms on this page with a new “Last updated” date. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
